This End User License Agreement (EULA) sets out the terms and conditions between you (the End User) and ZenNow Pty Limited ACN 612 398 428 (ZenNow). This EULA incorporates by reference the ZenNow Terms of Use (Terms of Use) for use of the ZenNow application and related user documentation provided in online or electronic form (the Software).

Please read this EULA and the Terms of Use (together, the EULA Terms) before using the Software. By clicking a button accepting these EULA Terms (if applicable), or by downloading, installing, copying or otherwise performing acts consistent with use of the Software or any portion of the Software, you agree to be bound by the EULA Terms. If you do not agree to the EULA Terms, you are not granted a licence to use the Software and must immediately cease any use (or otherwise) of the Software.


Subject to your acceptance of the EULA Terms and your continued compliance with the EULA Terms, ZenNow grants to you a non-exclusive, non-transferable, non-sublicensable, limited license to download, install and use in compiled, binary executable form only, a copy of the Software (Licence) on your personal computer or mobile device (i.e. iPhone, iPad or Android or other similar device running an iOS or Andriod mobile operating system) (Device). The Licence grant is limited to use on one Device at a time.

Any attempt to use the Software other than as permitted by this License will immediately terminate the License. The License granted to you in the EULA Terms is not a transfer or sale of ZenNow's ownership rights in or to the Software or your copy of the Software.

Other than the License grant in the EULA Terms, ZenNow retains all right, title and interest (including all intellectual property rights) in and to the Software and the copy of the Software on your Device(s).

The Software is protected by applicable intellectual property laws, including the Copyright Act 1968 (Cth) and international treaties.


ZenNow may utilise or include in the Software third-party software that is subject to 'free software', 'open source' and/or other third-party license terms (Third-party Software).

You acknowledge and agree that your right to use such Third-party Software in connection with the Software is subject to the terms and conditions or applicable licence of the 'free software', 'open source' or third-party license applicable to such Third-party Software (Third-party Licence), including, without limitation, any applicable acknowledgements, license terms and disclaimers contained in the Third-party Licence.

To the extent that you are granted any rights by the Third-party Licence that conflict with the EULA Terms, the terms of the Third-party Licence shall apply only to your use of the relevant Third-party Software and not the Software as a whole. If you wish to use the Third-party Software in such a way that is inconsistent with the EULA Terms, you must request a copy of the Third-party Software in its separate form or obtain it from the Third-party Software provider.

The use of Third-party Software or their components in the Software does not infer that the Software is "open source", "free software" and does not import any terms from the Third-party Licence into the EULA Terms.


In connection with the use of the Software, you agree that you shall not:

(a) rent, lease, sublicense, sell, assign, loan, or otherwise assign or transfer the Software, your copy of the Software or any of your rights and obligations under the EULA Terms to any person or entity;

(b) remove or destroy any copyright notices or other trademarks or branding on or forming part of the Software;

(c) reverse engineer, decompile, disassemble, modify or adapt the Software, merge the Software into another program, or create derivative works of the Software; and

(d) make copies of, or distribute the Software whether commercially or otherwise.


Without prejudice to any other rights or terms contain in the EULA Terms, ZenNow may terminate the Licence and the EULA Terms if you fail to comply with the terms and conditions of th EULA Terms. In such event, you must destroy all copies of the Software and refrain from using the Software unless you are specifically granted a new licence by ZenNow.


Unless otherwise provided for, the EULA Terms will govern any updates or upgrades that may be provided by ZenNow that replace or supplement the original Software, unless such update or upgrade is accompanied by a separate EULA in which case the terms of that EULA will supersede this EULA.

ZenNow does not guarantee that any future updates or upgrades of Software will be made available to you or be free of charge.

In order to enhance the Software, its features, security, to fix bugs or comply with legal requirements, ZenNow may automatically download and install updates or other changes to the Software with or without prior notification.

ZenNow makes no guarantee that it will support the Software and the Licences is on an 'as-is' basis. ZenNow may provide support for the Software, but reserves the right to cease offering support for the Software, particularly support regarding the use of older releases of the Software whenever a new release, whether for free or for pay, of the Software becomes available.


Use of the Software is subject to the acceptance and acknowledgement of our Privacy Policy, available at www.zennow.com.au/privacy. If you do not consent to the use of your information in accordance with our Privacy Policy you must cease to use the Software immediately.


All text, graphics, user interfaces, photographs, trademarks, logos, and artwork including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such content, contained in the Software is owned, controlled or licensed by or to ZenNow, and is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

You may only use information on the Software in compliance with the EULA Terms. No content on the Site (as defined in the Terms of Use) may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium for publication or distribution, without ZenNow's prior written consent.


To the extent permitted by applicable law, ZenNow provides the Software without warranty of any kind, eitherexpress or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

The entire risk as to the quality and performance of the Software is with the End User. Should the Software prove defective, you assume the cost of all necessary servicing, repair or correction caused by the use of the Software.

In no event, unless required by applicable law or as otherwise expressly agreed to in writing, will ZenNow be liable to you for damages, including any general, special, incidental or consequential damages arising out of the use or inability to use the Software (including, but not limited to, loss of data or data being rendered inaccurate or losses sustained by you or third parties or a failure of the Software to operate with any other software or applications on a Device).
